How long has Veloce Capital been managing funds?
The team at Veloce Capital has been managing funds since 2010 through various holding entities. To better streamline the process, Veloce Capital was formed in January 2020 to encompass all investments into one single SEC-registered fund entity. Veloce Capital was founded by Surf Dinani, who has extensive experience in financing complex real estate transactions and investing equity and debt in real estate investments in The United States. How does the investment work?
Veloce Capital employs two separate investment structures: The first structure is through a debt vehicle, where investors receive an agreed upon coupon, bi-annually. The second structure is through investments into The Fund, as equity partners (Limited Partnership).
How much can I invest? What is the minimum investment?
The minimum investment in Veloce Capital is $50,000 for accredited investors (individuals/households) and $1,000,000 for institutional investors, which amount may be adjusted at the sole discretion of the Manager. There is no set ceiling on the amount of investment for each unique Investor.
Who manages the Fund?
The Manager of The Fund is Veloce Capital LLC, a New Jersey limited liability company. Veloce Capital’s executive offices are located at 58 Main Street, 2nd floor, Hackensack, NJ 07601.
Does the Manager (and/or its principals) have any equity invested?
Yes, The Manager has invested into Veloce Capital. Potential Investors are encouraged to contact Surf Dinani for further discussion on this topic.
What can Investors expect in the way of transparency and communication?
The equity fund will release semi-annual statements and annual audited financial statements. The management team will send updates throughout the year as events occur.
What is the initial lock-up period on this fund?
The minimal lockup period is 1 year.
Is this an open-ended fund?
Yes, this fund is open-ended. We calculate Net Asset Value (NAV) on a semi-annual basis and allow investors to subscribe and redeem at the current share price.
How and when do I receive my preferred returns/redemptions?
Our goal as a firm is to tailor the needs of our investors to their specific goals. We will work with you depending on your investment strategy. We have options if you are looking to build equity, or a steady income stream paid out in intervals. We also have a variety of methods to send out funds via ACH/Wire/Check.
Is this a passive investment?
Yes, investing in the private fund is passive. When investing in a private fund, you are leveraging our management company’s experience in this business and participating in a diversified portfolio.
What can Investors expect in the way of transparency and communication and how often will I be updated about my investment?
We provide capital account statements, investor newsletters, and financial statements quarterly. We also always welcome calls from our investors anytime.
Will my investments be secured and backed/collateralized by real estate property?
Yes, our firms goal is to protect your capital. We have requirements in place for our lending products.
Do I need to be an accredited investor to invest in the fund?
Yes, our fund currently only allow accredited investors.
Can I invest with an IRA or 401K?
Yes, our fund allows investment through qualified retirement money. This must be done through a self-directed IRA or 401K. If you don’t yet have a self-directed account, we can make introductions to several custodians that we have worked with. Additionally, our fund does not generate Unrelated Business Income Tax (UBIT).
What is an accredited investor?
An individual or an entity can generally qualify as an accredited investor if they meet at least one of the following criteria:
– an individual with income exceeding $200,000 or joint income with his or her spouse of at least $300,000, in each of the last two years with the expectation to reasonably maintain the same level of income in the present year;
– an individual with a net worth exceeding $1 million, excluding the primary residence, either individually or jointly with his or her spouse;
– an entity that has assets exceeding $5 million that was not formed solely for the purpose of making the investment; oran entity whose owners all satisfy 1, 2, or 3 above.
